Company Law Package: MobilRL im ABlEU - Mobility Directive in the OJ

Die MobilRL (RL (EU) 2019/2121) wurde am 12. Dezember 2019 im ABlEU veröffentlicht. Sie wird damit am 1. Januar 2020 in Kraft treten.

Die Mitgliedstaaten müssen die neuen Vorgaben zu grenzüberschreitenden Verschmelzungen, grenzüberschreitenden Spaltungen und grenzüberschreitenden Formwechseln dann bis zum 31. Januar 2023 umsetzen.

 

In Deutschland hat das BMJV bereits mit den Vorbereitung für die Umsetzung begonnen und eine Expertenkommission eingesetzt (bestehend aus Prof. Dr. Christoph Teichmann, Prof. Dr. Heribert Heckschen, Dr. Susanne Zwirlein und Prof. Dr. Jessica Schmidt).

The Mobility Directive (Directive (EU) 2019/2121) was published in the OJ on 12 December 2019. It will thus come into force on 1 January 2020.

Member States will have to implement the new rules on cross-border mergers, cross-border divisions and cross-border conversions by 31 January 2023.

 

 

In Germany, the Ministry of Justice and for Consumer Protection has already started with preparing the implementation; it has established an expert commission (consisting of, Prof. Dr. Christoph Teichmann, Prof. Dr. Heribert Heckschen, Dr. Susanne Zwirlein and Prof. Dr. Jessica Schmidt).
