Teil 1 des Company Law Package ist offiziell da: Die DigiRL (RL (EU) 2019/1151) wurde heute im ABlEU veröffentlicht. Sie ist nun von den Mitgliedstaaten bis zum 1.8.2021 umsetzen (bei besonderen Schwierigkeiten ist ggf. eine Verlängerung der Umsetzungsfrist um 1 Jahr möglich).
Die DigiRL bringt eine umfassende Reform der GesRRL im Hinblick auf den Einsatz digitaler Werkzeuge und Verfahren, insbesondere:
- Online-Gründung (die Mitgliedstaaten können allerdings den Anwendungsbereich auf "GmbH" beschränken und Sachgründungen ausnehmen);
- Online-Kommunikation mit dem Register während des gesamten Lebenszyklus der Gesellschaft;
- Neukonzeption der Registerpublizität ("Nur Register"-Lösung, zusätzlich Bekanntmachung ist nicht mehr zwingend);
- weiterer Ausbau des BRIS;
- Regelungen zur directors' disqualification.

Part 1 of the Company Law Package is officially here: Today, the DigiD (Directive (EU) 2019/1151) was published in the OJ. It has to be implemented by Members States by 1 August 2021 (in case of particular difficulties an extension of 1 year is possible).
The DigiD brings a comprehensive reform of the CLD as regards the use of digital tools and processes in company law, in particular:
- online-registration (but Member States may restrict it to private limited liability companies and exclude cases where the share capital is paid by way of contributions in kind)
- online-communication with the register during the entire lifecycle of the company;
- new publicity concept ("once-only principle", additional publication via a national gazette will no longer be a mandatory requirement);
- further expansion of the BRIS;
- rules on directors' disqualification.
