ARUG II im BGBl - Germany implements SRD II

Ein lang erwartetes Weihnachtsgeschenk für die Gesellschaftsrechtler: Am 19.12.2019 wurde das ARUG II im Bundesgesetzblatt veröffentlicht (BGBl I, 2637).

 

Damit setzt auch Deutschland – mit knapp sechs Monaten Verspätung – die zweite Aktionärsrechtrichtlinie (RL (EU) 2017/828) endlich um. 

 

Im Aktienrecht gibt es damit ab 1. Januar 2020 viel Neues:

 

• Zustimmungs- und Veröffentlichungspflichten bei Related Party Transactions (§§ 107 Abs. 3 S. 4-6, 111a-111c AktG);

 

Vergütung von Vorstand und Aufsichtsrat: Vergütungssystem und Vergütungsbericht mit „Say on Pay“ (insbesondere: §§ 87a, 113 Abs. 3, 120a, 162 AktG und weitere Folgeänderungen) sowie eine - allerdings nicht auf unionsrechtlichen Vorgaben beruhende -  Maximalvergütung für den Vorstand (§§ 87 Abs. 4, 87a Abs. 1 S. 2 Nr. 1 AktG);

 

• Neuerungen in Bezug auf Identifizierung und Information der Aktionäre (§§ 64a ff. AktG und weitere Folgeänderungen);

 

Transparenz bei institutionellen Anlegern, Vermögensverwaltern und Stimmrechtsberatern (§§ 134a-134d AktG und Folgeänderungen in § 135 AktG).

 

 

Für viele der neuen Regelungen gelten indes spezielle Übergangsvorschriften (vgl. § 26j EGAktG): So gelten z.B. die Neuerungen zum Beschluss über das Vergütungssystem erst für die erste ordentliche Hauptversammlung, die auf den 31. Dezember 2020 folgt (Abs. 1); der neue Vergütungsbericht ist erstmals für das nach dem 31. Dezember 2020 beginnende Geschäftsjahr erforderlich (Abs. 2).

A long-awaited Christmas present for company lawyers: On 19 December 2019, the ARUG II was published in the German Federal Gazette (BGBl I, 2637).

 

Thus, German finally implements the Shareholder Rights Directive II (Directive (EU) 2017/828) – albeit about six months too late.

 

 From 1 January 2020, there will be a lot of new provisions in German stock corporation law:

 

·       approval and publication requirements for related party transactions (§§ 107(3) 4-6, 111a-111c AktG);

 

·       remuneration of management and supervisory board: remuneration policy and remuneration report with „say on pay“ (in particular: §§ 87a, 113 Abs. 3, 120a, 162 AktG and consequential amendments) as well as a maximum remuneration for the members of the management board (§§ 87 Abs. 4, 87a(1)2 no. 1 AktG – this was not required by the SRD II);

 

·       new rules on identification and information of the shareholders (§§ 64a ff. AktG and consequential amendments);

 

·       transparency of institutional investors, assets managers and proxy advisors (§§ 134a-134d AktG and consequential amendments in § 135 AktG).

 

 But there are special transitional provisions for many of the new rules (cf § 26j EGAktG): The new rules regarding “say on pay” apply only as from the first ordinary general meeting following 31 December 2020 (para. 1); the new remuneration report will be required for the first time for the financial year beginning after 31 December 2020 (para. 2).
